Welcome to Trustwall. By accessing or using the Trustwall website located at www.trustwallllc.com (the "Site") or any of Trustwall's compliance and consent management platform services (collectively, the "Services"), you ("User," "Client," or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please discontinue use of the Site and Services immediately.
These Terms constitute a legally binding agreement between you and ABA Pro Software LLC DBA Trustwall ("Trustwall," "we," "us," or "our"), a company registered in Lewes, Delaware.
1. ACCEPTANCE OF TERMS
By accessing the Site, registering for an account, subscribing to a plan, or otherwise using the Services, you represent that: (a) you are at least 18 years of age or the age of majority in your jurisdiction; (b) you have the legal authority to bind yourself or the organization you represent to these Terms; and (c) your use of the Services complies with all applicable federal, state, and local laws and regulations.
2. DESCRIPTION OF SERVICES
Trustwall is an AI-driven compliance and consent management platform designed to help regulated organizations govern artificial intelligence systems, manage user consent, and maintain regulatory compliance. The Services may include, but are not limited to:
- Real-time AI compliance monitoring and governance frameworks
- Consent management and verification tools
- Blockchain-backed consent integrity and audit logging (Immutable Consent Ledger™)
- Adaptive compliance frameworks aligned with HIPAA, GDPR, EU AI Act, ISO 42001, NIST AI RMF, and other applicable standards
- AI policy generation, audit reporting, and risk assessment tools
- API integrations with third-party platforms
Trustwall reserves the right to modify, suspend, or discontinue any feature or functionality of the Services at any time with reasonable notice to active subscribers.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
To access certain features of the Services, you may be required to register for an account. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain the confidentiality of your login credentials; (c) notify Trustwall immediately at Info@trustwallllc.com of any unauthorized access to your account; and (d) accept full responsibility for all activities occurring under your account. Trustwall reserves the right to suspend or terminate accounts that violate these Terms or that engage in activity deemed harmful to Trustwall or its users.
4. SUBSCRIPTION PLANS AND PAYMENT
Trustwall's Services are offered on a subscription basis. By enrolling in a paid plan, you agree to the following:
- Billing: Subscriptions are billed in advance on a monthly or annual cycle, as selected at the time of enrollment.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.
- Price Changes: Trustwall reserves the right to modify pricing with at least 30 days' written notice to active subscribers.
- Refunds: Fees paid are non-refundable except as expressly provided in your subscription agreement or as required by applicable law.
- Failure to Pay: Trustwall reserves the right to suspend or terminate access to the Services upon non-payment.
5. ACCEPTABLE USE POLICY
You agree to use the Services only for lawful purposes and in compliance with these Terms. You agree not to:
- Violate any applicable federal, state, or local laws, regulations, or third-party rights
- Use the Services to process data in a manner that violates HIPAA, GDPR, CCPA, or any other applicable privacy law
- Reverse engineer, decompile, or attempt to extract the source code of any Trustwall technology
- Transmit malware, viruses, or any other malicious code through the Site or Services
- Sublicense, resell, or redistribute the Services without Trustwall's prior written consent
- Use the Services to engage in fraudulent, deceptive, or unlawful activities
- Interfere with or disrupt the integrity or performance of the Services or related infrastructure
6. INTELLECTUAL PROPERTY RIGHTS
All content, technology, software, algorithms, models, processes, and materials comprising the Services — including but not limited to Trustwall's patent-pending technologies, the Immutable Consent Ledger™, Consent Replay Shield™, Trust Modulation Engine™, and all associated trademarks, trade dress, and proprietary frameworks — are the exclusive property of ABA Pro Software LLC DBA Trustwall.
Trustwall™ is a trademark pending with the United States Patent and Trademark Office. Trustwall's platform is protected by a portfolio of seven (7) provisional patent applications. Nothing in these Terms grants you any ownership interest in Trustwall's intellectual property. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during your active subscription period.
You retain ownership of all data, content, and materials you submit to the Services ("Customer Data"). By submitting Customer Data, you grant Trustwall a limited license to process and store that data solely as necessary to deliver the Services.
7. DATA PRIVACY AND SECURITY
Trustwall is committed to protecting the privacy and security of Customer Data. Your use of the Services is also governed by our Privacy Policy, available at www.trustwallllc.com/privacy-policy, which is incorporated into these Terms by reference.
- Trustwall implements commercially reasonable technical and organizational safeguards to protect Customer Data against unauthorized access, disclosure, or loss.
- Trustwall will notify affected clients of a confirmed data security incident within the timeframe required by applicable law.
- Trustwall does not sell Customer Data to third parties.
- Where applicable, clients may execute a Data Processing Agreement (DPA) with Trustwall to satisfy GDPR, HIPAA Business Associate Agreement (BAA), or other regulatory requirements.
8. AI OUTPUT DISCLAIMER
The Services incorporate artificial intelligence technologies to generate compliance reports, policy recommendations, audit results, and related outputs ("AI Outputs"). You acknowledge and agree that:
- AI Outputs are provided for informational and operational assistance purposes only and do not constitute legal, regulatory, or professional advice.
- Trustwall does not warrant that AI Outputs are error-free, complete, or applicable to your specific regulatory environment.
- You are solely responsible for independently reviewing AI Outputs and for making final compliance decisions.
- Trustwall shall not be liable for any regulatory penalty, enforcement action, or loss arising from your reliance on AI Outputs without independent professional review.
9. CONFIDENTIALITY
Each party agrees to maintain the confidentiality of the other party's non-public, proprietary, or confidential information disclosed in connection with the Services ("Confidential Information"). This obligation survives the termination of these Terms for a period of five (5) years, except for information that: (a) becomes publicly available through no breach of these Terms; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without use of the Confidential Information; or (d) is required to be disclosed by applicable law or court order.
10. WARRANTIES AND DISCLAIMERS
Trustwall warrants that it will provide the Services in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Trustwall does not warrant that the Services will be uninterrupted, error-free, or fully secure, that any specific regulatory outcome will be achieved, or that the Services will meet every jurisdiction's compliance requirements without client-side customization.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUSTWALL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TRUSTWALL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL TRUSTWALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Trustwall, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your violation of these Terms; (b) your misuse of the Services or AI Outputs; (c) your violation of any applicable law or third-party rights; or (d) any data or content you submit to the Services that infringes the rights of a third party.
13. TERM AND TERMINATION
These Terms remain in effect for the duration of your use of the Site or active subscription. You may terminate at any time by canceling your subscription and ceasing use of the Services. Trustwall may terminate immediately, with or without notice, if you materially breach these Terms, engage in fraudulent activity, or as required by law.
Upon termination, your access to the Services will be revoked. Trustwall will retain Customer Data for a period of 30 days following termination, after which it may be permanently deleted. Sections 6, 7, 9, 10, 11, and 12 shall survive termination.
14. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be submitted to good-faith mediation. If mediation fails to resolve the dispute within 60 days, the parties agree to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Illinois. You waive any right to a jury trial or class action proceeding in connection with the Services.
15. MODIFICATIONS TO TERMS
Trustwall reserves the right to update or modify these Terms at any time. We will notify active subscribers of material changes via email or a prominent notice on the Site at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
16. SEVERABILITY AND ENTIRE AGREEMENT
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and any applicable subscription agreement or Data Processing Agreement, constitute the entire agreement between you and Trustwall regarding the Services and supersede all prior agreements, representations, and understandings.
